7,500,000 shares of common stock at $19.00 on NASDAQ
Washington, D.C. -- November 16, 2004 -- InPhonic, Inc. (Nasdaq: INPC) announced today its initial public offering of 7,500,000 shares of common stock priced at $19.00 per share. InPhonic offered 6,500,000 shares and certain stockholders offered 1,000,000 shares. In addition, the underwriters will have a 30-day option to purchase up to an additional 1,125,000 shares of common stock from the selling stockholders to cover over-allotments, if any. The shares will be listed on the Nasdaq National Market under the symbol INPC and will begin trading today.
Net proceeds to the Company, after underwriting discount and estimated expenses related to the offering, will be approximately $108.9 million. Net proceeds to the Company will be used to repay certain debt, pay accrued and unpaid dividends on shares of the Company's preferred stock, and cover general corporate purposes, including working capital. Assuming no exercise of the over-allotment option, the selling stockholders will receive net proceeds of approximately $17.7 million.
The offering was made through an underwriting syndicate led by Deutsche Bank Securities Inc. and J.P. Morgan Securities Inc. Deutsche Bank Securities Inc. and J.P. Morgan Securities Inc. acted as Joint Book-runners and Co-lead Managers.
